Terms of Service

The rules governing access to and use of Grein.

Effective date: 2 September 2026

These Terms of Service (the “Terms”) form a binding agreement between you and the operator of Grein, an unincorporated software service operated from Ghana under the name “Grein” (“Grein”, “we”, “us”, or “our”). They govern your access to and use of grein.studio, Grein applications, workspaces, collaboration features, AI features, sharing tools, and related services (collectively, the “Service”).

By creating an account, purchasing a plan, accessing a shared workspace, or otherwise using the Service, you agree to these Terms. If you use Grein on behalf of an organisation, you represent that you have authority to bind that organisation.

1. Eligibility and accounts

You must be at least 13 years old to use Grein. If you are under the age at which you may independently enter into contracts or consent to the processing of personal data in your jurisdiction, you may use Grein only with the involvement and consent of a parent, guardian, or other authorised adult where required by law.

  • Provide accurate account information and keep it reasonably up to date.
  • Keep your login credentials secure and do not knowingly allow unauthorised access to your account.
  • You are responsible for activity occurring through your account unless caused by Grein’s breach of its obligations.
  • Notify us promptly if you believe your account or workspace has been compromised.

2. The Service

Grein is a visual workspace for creative projects. The Service may allow users to create projects and boards, add notes, links, images and other materials, collaborate in real time, invite other users, share projects, use templates, and interact with AI-assisted features.

We may improve, modify, add, remove, or discontinue features. Where a change materially reduces a paid feature during a prepaid subscription period, we will take commercially reasonable steps to provide notice or an appropriate remedy where required by law.

3. Your content and ownership

“User Content” means content you or people you authorise submit to Grein, including text, images, files, links, comments, board content, prompts, project materials, and other creative material.

You retain ownership of your User Content. Grein does not acquire ownership merely because you upload, create, organise, or share content through the Service.

You grant Grein a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, display, format, back up, and otherwise process User Content only as reasonably necessary to operate, secure, improve, and provide the Service to you and the people with whom you choose to collaborate or share content. This licence ends when the relevant content is deleted from our systems, subject to reasonable backup, legal, security, and retention requirements.

You are responsible for ensuring that you have the rights and permissions necessary to upload, use, and share User Content. References collected for creative purposes may still be protected by copyright, privacy, publicity, confidentiality, or other rights.

4. Collaboration and sharing

Grein lets you invite collaborators and make projects accessible through revocable public share links. You control whom you invite and what you choose to make public, subject to available product controls.

  • Collaborators may be able to view, edit, organise, or otherwise interact with content depending on the permissions available to them. Anonymous visitors opening a public share link are provided view-only access and are not given editing or other workspace actions.
  • A public share link may be forwarded by a recipient. Grein clearly indicates when a project is public, and the project owner can revoke public access. Do not use public links for confidential material unless you understand that anyone who receives the active link may be able to view the shared project.
  • You are responsible for obtaining any client, employer, teammate, or rights-holder permissions required before sharing confidential or third-party content.

5. AI features

Some plans may include AI-powered features. Your use of those features is also governed by the Grein AI Terms & Usage Policy, which is incorporated into these Terms by reference.

AI output may be inaccurate, incomplete, offensive, non-unique, or unsuitable for your intended use. You must review AI output before relying on, publishing, or incorporating it into a project. Grein does not warrant that AI output is factually correct, copyrightable, non-infringing, or fit for a particular purpose.

6. Acceptable use

You must comply with the Grein Acceptable Use Policy. Among other things, you may not use the Service to violate law, infringe rights, distribute malware, compromise security, abuse other users, circumvent usage restrictions, or use AI features for prohibited or harmful activities.

7. Paid plans, billing and cancellation

Grein currently offers one paid subscription plan at USD 5 per month. The subscription is billed through Paystack and renews automatically at the end of each monthly billing period until cancelled. Paystack may calculate, collect, or handle applicable taxes or payment-related charges in accordance with its services and the information presented at checkout.

  • You authorise Grein and Paystack, our payment processor, to charge the payment method associated with your subscription for recurring monthly fees and applicable amounts shown at checkout.
  • You may cancel your subscription only through the billing controls made available inside the Grein application. Cancellation takes effect at the end of the current paid billing period, and you retain paid-plan access until that period ends.
  • Refunds are considered on a case-by-case basis. Nothing in these Terms limits any refund, cancellation, or consumer right that cannot lawfully be excluded.
  • If your paid plan ends or a recurring payment fails, your account is downgraded to the Free plan. A failed payment may result in an immediate downgrade. Grein does not intentionally delete projects or other User Content merely because your paid plan ends. You continue to have access to work created during the paid period, subject to the features and limits of the Free plan; paid-only features, including AI access, may become unavailable.
  • Promotional, trial, complimentary, or temporarily granted paid access may be revoked or expire as stated when granted.

Billing questions, including case-by-case refund requests, may be submitted to [email protected] or through Grein Support. Payment processing is provided by Paystack and may also be subject to Paystack’s applicable terms and policies.

8. Intellectual property in Grein

Grein and its licensors retain all rights in the Service itself, including software, design, interfaces, branding, templates created by Grein, documentation, and other Grein materials. These Terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is active; they do not transfer ownership of Grein intellectual property to you.

9. Feedback

If you send ideas, suggestions, or feedback about Grein, you permit us to use that feedback without restriction or payment, but we do not acquire ownership of your underlying User Content merely because feedback relates to it.

10. Third-party services and content

The Service may integrate with or link to third-party services. Their products, terms, privacy practices, availability, and content are controlled by those third parties. Grein is not responsible for third-party services merely because they are linked or integrated with Grein.

11. Suspension and termination

You may stop using Grein at any time. We may suspend or terminate access where reasonably necessary to address non-payment, a material breach of these Terms, security threats, unlawful activity, abuse, risk to other users or the Service, or a legal requirement. Where reasonable and legally permitted, we will attempt to give notice before termination and an opportunity to resolve the issue.

12. Service availability and disclaimers

Grein is provided on an “as is” and “as available” basis to the maximum extent permitted by law. We do not guarantee uninterrupted availability, that every error will be corrected, that content will never be lost, or that the Service will meet every workflow or business requirement. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

13. Limitation of liability

To the maximum extent permitted by applicable law, Grein will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, opportunities, or data arising from use of the Service.

To the maximum extent permitted by law, Grein’s aggregate liability arising out of or relating to the Service during any twelve-month period will not exceed the greater of (a) the amount you paid Grein for the Service during the twelve months preceding the event giving rise to the claim or (b) USD 100. This limitation does not apply where applicable law prohibits it, including liability that cannot lawfully be limited or excluded.

14. Indemnity

To the extent permitted by law, if you use Grein for business or commercial purposes, you agree to indemnify Grein against third-party claims, liabilities, damages, and reasonable costs arising from your unlawful User Content, your material violation of these Terms, or your infringement of another person’s rights. This clause does not require you to indemnify Grein for Grein’s own unlawful conduct.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law principles, unless mandatory consumer law in your place of residence provides otherwise. The courts of competent jurisdiction in Ghana will have jurisdiction over disputes, subject to any non-waivable rights you have under applicable law.

16. Changes to these Terms

We may update these Terms to reflect changes to the Service, law, security, or business practices. If a change is material, we will provide reasonable notice through the Service, email, or another appropriate method. Continued use after the effective date of an updated version constitutes acceptance where permitted by law.

17. General

If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, except where applicable law gives you that right. Grein may assign these Terms as part of a merger, acquisition, financing, reorganisation, or sale of all or substantially all of the relevant business or assets.
